Payment Terms

Service fees, payment schedules, and terms will be specified in individual service agreements. Unless otherwise agreed, all fees are due within 30 days of invoice date. Late payments may be subject to interest charges and may result in suspension of services. All fees are exclusive of applicable taxes, which will be added to invoices as required by law.

Confidentiality

clearventureis acknowledges that we may have access to confidential and proprietary information belonging to our clients. Limitation of Liability

To the fullest extent permitted by law, clearventureis Ltd's total liability for any claims arising from or related to our services or website shall not exceed the total fees paid by the client for the specific services giving rise to the claim during the twelve months preceding the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

clearventureis provides services on an "as is" basis and makes no warranties, express or implied, regarding the services except as specifically set forth in individual service agreements. We do not warrant that our services will be uninterrupted, error-free, or meet all client requirements.

Indemnification

You agree to indemnify and hold harmless clearventureis Ltd, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

Termination

Either party may terminate the service relationship with appropriate notice as specified in the relevant service agreement. clearventureis reserves the right to suspend or terminate services immediately if a client breaches these Terms or fails to pay fees when due. Upon termination, each party will return or destroy confidential information belonging to the other party, except as required for legal compliance or legitimate business purposes.

Termination does not relieve either party of obligations that accrued prior to termination, including payment obligations and confidentiality commitments.

Force Majeure

clearventureis shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, government actions, or technical failures. In such cases, we will make reasonable efforts to resume performance as soon as practicable.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Ireland. Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the Irish courts. The parties agree to submit to the personal jurisdiction of such courts for the purpose of litigating any such dispute.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the intent of the original provision.

Entire Agreement

These Terms of Service, together with our Privacy Policy and any specific service agreements, constitute the entire agreement between you and clearventureis regarding the use of our website and services. These Terms supersede all prior or contemporaneous communications and proposals, whether oral or written.
